The Impact of Digitalization on the Legal Regulation of the Commercial Register under Austrian Law

This article deals with the transposition of Directive (EU) 2019/1151 of the European Parliament and of the Council of 20 June 2019 amending Directive (EU) 2017/1132 as regards the use of digital tools and processes in company law into Austrian law. It focuses on areas enshrined in the directive in question, which had not previously been regulated in Austria or had been regulated differently from the requirements of the directive. The transposition took place in two phases. The first phase was the adoption of the Federal Act on the Digitization of Company Law 2022. This Act transposed into Austrian law almost all objectives of Directive (EU) 2019/1151, which had not previously been included in Austrian law (in particular, the effects of publishing data in the commercial register, setting a deadline for the initial registration of data, conditions for the payment of share capital in limited liability companies, fees for online procedures and cross-border exchange of information via the BRIS system). However, going beyond the requirements of Directive (EU) 2019/1151, but in connection with Regulation (EU) 2018/1724, the Austrian legislator also regulated other areas related to digitization within the framework of the Commercial Companies Digitization Act 2022, such as the online registration of entrepreneurs who are natural persons. The second phase was implemented through the Commercial Companies Digitization Act 2023, whose main objective was to enshrine in Austrian law the conditions and legal consequences of disqualifying members of statutory bodies of companies and cooperatives, as well as their supranational equivalents. In the case of significant differences between Slovak and Austrian legislation in the context of the digitization of the commercial register, we refer to the specific features of both legal systems.
